CALICO YOUTH — PARTICIPATION AGREEMENT

Parent/Guardian Agreement for Minor Athlete Enrollment

1. PARTIES & DEFINITIONS

This Participation Agreement ("Agreement") is entered into by the undersigned parent or legal guardian ("Parent" or "Guardian") on behalf of their minor child ("Athlete"), and Calico Youth LLC ("Calico Youth," "we," "us," or "our"), a self-development community for youth athletes.

By completing enrollment, Parent agrees to all terms set forth in this Agreement.

2. NATURE OF SERVICES & SCOPE DISCLAIMER

Calico Youth provides an online self-development community for youth athletes ages 12–16, hosted on the Circle platform. Our programming includes peer community access, self-development content, group coaching calls, and accountability resources built around three core pillars: Accountability, Confidence, and Consistency.

Self-development work is personal by nature. Athletes are encouraged to reflect, set goals, and engage honestly with their growth — and that process can sometimes bring up real emotions. That's a normal and healthy part of the journey. However, Calico Youth is not a therapy, counseling, or mental health service, and should not be treated as one. Our coaches and team members are not licensed therapists, psychologists, psychiatrists, or clinical mental health professionals. While our team includes individuals with advanced academic credentials — including an M.S. in Sport & Performance Psychology — those credentials do not constitute a licensed clinical practice, and no content, coaching, or interaction within Calico Youth should be interpreted as clinical advice, diagnosis, or treatment.

If your child is experiencing mental health concerns, we strongly encourage you to seek support from a licensed mental health professional.

3. NO GUARANTEED RESULTS

Calico Youth makes no guarantees regarding athletic performance, academic outcomes, personal development milestones, or any other results. All outcomes depend on the individual effort, consistency, and circumstances of each athlete. Any testimonials, success stories, or examples shared within the community represent individual experiences and are not a promise of similar results.

4. COMMUNITY ENVIRONMENT

Calico Youth is a positive, moderated community built specifically for youth athletes. Members interact with peers their age and with our coaching team through posts, discussions, and live calls. We maintain clear community guidelines and actively moderate to keep the environment supportive and on-mission.

Because this is a live, interactive community, parents are encouraged to stay engaged with their Athlete's participation — not out of concern, but because parental involvement tends to make the experience more meaningful. Parent acknowledges that their Athlete will be participating in a peer-driven online environment and that Calico Youth's ability to monitor every interaction in real time is limited.

5. MEDIA & CONTENT RELEASE

Parent grants Calico Youth LLC a royalty-free, worldwide license to use photographs, video clips, screenshots, and written content (including posts, comments, and reflections) featuring or authored by their Athlete, for marketing, promotional, and educational purposes across any channel — including but not limited to social media, the Calico Youth website, email communications, and paid advertising.

Calico Youth will never sell Athlete content to third parties. We will use it only to represent and promote the Calico Youth community.

If at any time Parent wishes to have specific content removed from active use, they may submit a written request to us directly and we will honor that request within a reasonable timeframe. This does not affect any prior distribution of content that has already occurred.

6. RELEASE OF LIABILITY & INDEMNIFICATION

To the fullest extent permitted by law, Parent, on behalf of themselves and their Athlete, hereby releases, waives, and forever discharges Calico Youth LLC, its founders, employees, contractors, coaches, and affiliated personnel (collectively, "Released Parties") from any and all claims, demands, damages, losses, or causes of action — whether known or unknown — arising out of or related to their Athlete's participation in Calico Youth.

This release includes but is not limited to claims related to:

Emotional or psychological responses arising from self-development programming or community participation

Peer interactions or user-generated content within the platform

Coaching content, feedback, or community resources

Failure to achieve any particular result or outcome

Use of Athlete content in marketing or promotional materials in accordance with Section 5

Parent further agrees to indemnify and hold harmless the Released Parties from any claims brought by or on behalf of their Athlete arising from participation in Calico Youth.

7. DISPUTE RESOLUTION & GOVERNING LAW

Any dispute arising out of or related to this Agreement or participation in Calico Youth shall first be submitted to good-faith mediation before any legal action is pursued. This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, and any unresolved disputes shall be subject to the exclusive jurisdiction of the courts located in Nevada.

8. ELECTRONIC ACKNOWLEDGMENT

I have read and agree to the Calico Youth Participation Agreement. I understand that Calico Youth is a self-development community — not a therapy or mental health service — and that my child will be participating in a live, peer-driven online environment. I also grant Calico Youth LLC the right to use my child's likeness, videos, and written content for marketing purposes as outlined in Section 5, and understand I may request removal of specific content at any time. I confirm that I am their legal parent or guardian and have the authority to enter into this Agreement on their behalf.
